User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Angora (“Company,” “we,” “us,” or “our”) governing your use of our internal software application that integrates monday.com with QuickBooks Online (the “Application”).

The Application is an internal tool used by Angora to automate the creation of invoices in QuickBooks Online based on data managed in monday.com. By accessing or using the Application, you agree to be bound by this Agreement.

1. License Grant

Subject to the terms of this Agreement, Angora grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for internal business purposes related to [COMPANY NAME]’s operations.

2. Permitted Use

The Application is intended exclusively for internal use by Angora and authorized personnel. You agree to use the Application only:

  • For lawful business purposes

  • In compliance with all applicable laws and regulations

  • In accordance with QuickBooks Online and monday.com terms of service

  • To process data you are authorized to access and use

3. Restrictions

You agree not to:

  • Copy, modify, reverse engineer, decompile, or disassemble the Application

  • Distribute, sublicense, lease, rent, or sell the Application to any third party

  • Use the Application to process data on behalf of any third party without written authorization

  • Use the Application in any manner that could damage, disable, or impair its functionality

  • Attempt to gain unauthorized access to any portion of the Application or its related systems

4. Intellectual Property

The Application, including all underlying technology, source code, and related documentation, is and shall remain the exclusive property of Angora. This Agreement does not transfer any ownership rights to you.

QuickBooks Online is a product of Intuit Inc. monday.com is a product of monday.com Ltd. All trademarks and service marks of these third parties remain the property of their respective owners.

5. Third-Party Services

The Application connects to and interacts with QuickBooks Online and monday.com through their respective APIs. Your use of these third-party services is governed by their own terms and policies:

Angora is not responsible for the availability, accuracy, or functionality of these third-party services.

6. Data Handling

The Application processes business data including customer contact information, invoice details, and payment records. Data handling practices are described in our Privacy Policy, which is incorporated into this Agreement by reference.

7. No Warranty

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. [COMPANY NAME] DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Application will be uninterrupted, error-free, or free from harmful components.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [COMPANY NAME] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR BUSINESS INTERRUPTION.

9. Termination

This Agreement remains in effect until terminated. Angora may terminate or suspend access to the Application at any time, with or without notice, for any reason. Upon termination, your right to use the Application immediately ceases.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

11. Changes to This Agreement

Angora reserves the right to modify this Agreement at any time. Changes will be effective when posted at https://joinangora.com. Continued use of the Application after changes constitutes acceptance of the revised Agreement.
